These Terms & Conditions ("Terms") govern access to and use of CatalystBioLabs.com (the "Site") and all purchases made through Catalyst BioLabs ("Catalyst BioLabs," "Company," "we," "our," or "us").

By accessing the Site, creating an account, or purchasing products, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access the Site or purchase products.

1. Research Use Only

All products sold by Catalyst BioLabs are supplied strictly for lawful laboratory and analytical research purposes only.

Products offered on this Site are:

NOT intended for human consumption;
NOT intended for veterinary use;
NOT intended for clinical, diagnostic, cosmetic, or therapeutic applications;
NOT approved by the United States Food and Drug Administration for human or animal use;
NOT intended for self-experimentation or personal administration;
NOT intended for use in food, drugs, medical devices, cosmetics, or commercial manufacturing.

Purchasers are solely responsible for ensuring lawful purchase, possession, storage, handling, and use in compliance with all applicable laws and regulations.

No content on this Site constitutes medical advice, treatment guidance, health claims, or regulatory approval.

2. Purchaser Eligibility & Representations

By accessing the Site or completing a purchase, you represent and warrant that:

You are at least twenty-one (21) years of age;
You are purchasing on behalf of a laboratory, institution, research organization, commercial entity, or other qualified research environment;
You understand the technical and experimental nature of the materials offered;
You possess appropriate knowledge regarding safe laboratory handling procedures;
You will not misuse products in violation of applicable laws or these Terms.

Catalyst BioLabs reserves the right to deny, limit, suspend, or terminate access or transactions at its sole discretion.

3. Account Registration & Gated Access

Purchases may only be made through approved customer accounts.

Catalyst BioLabs may require:

account registration;
purchaser verification;
researcher classification;
institutional or business information;
acceptance of these Terms prior to checkout.

Guest checkout may not be available.

We reserve the right to reject or deactivate accounts at any time for compliance, fraud prevention, or policy-related reasons.

4. Order Acceptance & Availability

Submission of an order does not constitute final acceptance.

Catalyst BioLabs reserves the right to:

refuse or cancel orders;
limit quantities;
reject transactions;
discontinue products without notice;
correct pricing, inventory, or product description errors.

Orders are deemed accepted only after payment has been approved and the order has been processed for shipment.

5. Pricing & Payment

All prices are listed in U.S. Dollars unless otherwise stated.

Payments are processed through secure third-party payment providers utilizing encrypted and PCI-compliant systems.

Catalyst BioLabs does not store full payment card information on its servers.

We reserve the right to:

refuse transactions;
require additional verification;
cancel suspicious orders;
limit payment methods based on risk review.

6. Chargebacks & Payment Disputes

Customer satisfaction is important to us, and most concerns can be resolved quickly through direct communication.

If you experience an issue related to billing, fulfillment, shipment, or product quality, you agree to contact Catalyst BioLabs prior to initiating a chargeback or payment dispute.

Improper, abusive, or fraudulent chargebacks — including disputes initiated after confirmed delivery without prior communication — may result in:

account suspension;
permanent loss of purchasing privileges;
collection efforts for associated fees and damages;
reporting to fraud prevention databases where legally permissible.

Catalyst BioLabs reserves all rights regarding disputed transactions.

7. Shipping, Delivery & Risk of Loss

Risk of loss and title transfer to the purchaser upon delivery of products to the carrier.

Delivery timelines are estimates only and are not guaranteed.

Catalyst BioLabs is not responsible for:

carrier delays;
weather disruptions;
customs delays;
incorrect shipping information provided by purchaser;
lost or stolen packages marked as delivered.

Purchasers are responsible for ensuring shipping compliance within their jurisdiction.

8. Inspection & Claims

All shipments must be inspected immediately upon receipt.

Claims involving:

fulfillment discrepancies;
shipping damage;
missing items;
incorrect products;

must be reported within three (3) business days of delivery.

Supporting documentation, including photographs, may be required.

Failure to report issues within this timeframe constitutes acceptance of the shipment.

9. Returns & Refunds

Due to the controlled nature of laboratory research materials, returns are not accepted after shipment. Damaged, incorrect, or fulfillment-error orders may be reviewed for replacement or refund within 7 days of delivery, with required documentation.

10. Product Specifications & Limited Warranty

At the time of shipment, products are warranted only to conform to the specifications listed on the applicable Certificate of Analysis ("COA") for that batch.

Except as expressly stated:

all products are provided "AS IS";
no additional warranties are expressed or implied;
no warranty of merchantability or fitness for a particular purpose is provided.

Catalyst BioLabs' sole obligation shall be limited to replacement or refund of the affected product at its discretion.

11. Limitation of Liability

To the fullest extent permitted by law, Catalyst BioLabs shall not be liable for:

indirect damages;
consequential damages;
incidental damages;
special damages;
punitive damages;
loss of profits;
research outcomes;
business interruption;
personal injury claims arising from misuse.

Total liability arising from any transaction shall not exceed the purchase price of the affected product.

12. Indemnification

You agree to indemnify, defend, and hold harmless Catalyst BioLabs and its officers, directors, affiliates, employees, contractors, and agents from any claims, damages, liabilities, costs, or expenses arising from:

misuse of products;
violation of these Terms;
unlawful use of products;
improper storage or handling;
unauthorized resale or representation.

13. Intellectual Property

All Site content, including:

logos;
branding;
text;
graphics;
documentation;
product descriptions;
images;
software;

is the exclusive property of Catalyst BioLabs and protected by applicable intellectual property laws.

Unauthorized reproduction, scraping, copying, distribution, or commercial use is prohibited.

14. Compliance With Laws

Purchasers are responsible for compliance with all applicable:

federal laws;
state laws;
local laws;
import/export regulations;
research regulations.

Products may not be exported, transferred, or resold in violation of applicable law.

15. Prohibited Conduct

You agree not to:

misuse products;
market products for human consumption;
misrepresent product purpose;
engage in fraudulent transactions;
interfere with Site security;
attempt unauthorized access to systems or accounts.

Catalyst BioLabs reserves the right to cooperate with law enforcement and regulatory authorities regarding unlawful conduct.

16. Modifications

Catalyst BioLabs may revise these Terms at any time without prior notice.

Updated versions become effective upon posting to the Site.

Continued use of the Site constitutes acceptance of revised Terms.

17. Governing Law

These Terms shall be governed by and construed under the laws of the State of Wyoming, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Wyoming.
